I. Convening of Board Meetings
The 39th meeting of the fourth board of directors of Shouhang high tech Energy Technology Co., Ltd. (hereinafter referred to as "the company") was held on the afternoon of July 26, 2023 at building 20, area 3, headquarters base, 188 south 4th ring road west, Fengtai District, Beijing. The meeting notice was held on July 16, 2023 by telephone, fax, email, etc. The meeting of the board of directors was convened and presided over by Mr. Huang Wenbo, chairman of the board of directors. 9 directors should be present at the meeting, and 9 directors were actually present. Some senior managers of the company attended the meeting as nonvoting delegates, in line with the provisions of the the People's Republic of China company law, the articles of association and other relevant laws and regulations, and the resolution made was legal and effective.
