I. Meetings of the Board of Supervisors
The third meeting of the Fifth Board of Supervisors of Shouhang High-tech Energy Technology Co., Ltd. (hereinafter referred to as the "Company") was held on December 21, 2023 at Building 20, Area 3, Headquarters Base, No. 188 South Fourth Ring Road West, Fengtai District, Beijing. The meeting notice and related materials were delivered to all supervisors by mail, telephone and fax on December 9, 2023. The meeting of the board of supervisors was convened and presided over by Mr. Chen Shuangta, the supervisor. There were 3 supervisors present at the meeting, and 3 supervisors were actually present. It complied with the "Company Law of the People's Republic of China" and "Articles of Association" and other relevant laws and regulations, and the resolutions made were legal and effective. After discussion and voting by all supervisors, the following resolutions were unanimously adopted:

1. Consideration of the Bill on Cancellation of Repurchased Shares and Reduction of Registered Capital
Voting results: 3 votes in favor, 0 votes against, 0 abstentions. This proposal still needs to be submitted to the company's first interim shareholders' meeting in 2024 for consideration.

2. Deliberated and passed the "Proposal on Renewing the Appointment of Accounting Firms"
Voting results: 3 votes in favor, 0 votes against, 0 abstentions. Agree to submit the proposal to the company's first interim general meeting of shareholders in 2024 for consideration.
After verification, the Board of Supervisors believes that Zhongxing Cai Guanghua Certified Public Accountants (Special General Partnership) is qualified to audit securities and futures-related businesses, and has rich experience and professionalism in auditing listed companies. During his tenure as the company's audit institution, he was able to meet the requirements of the company's financial audit work, adhering to the principles of independence, objectivity and impartiality, diligent and conscientious, and ensured the truthfulness, accuracy and completeness of the company's audit report. The Supervisory Board agreed to re-appoint Zhongxing Cai Guanghua Certified Public Accountants (Special General Partnership) as the company's 2023 audit agency.
